Terms of Service
These Terms of Service (“Terms”) are an agreement between the institute or organisation that uses Instione (“you”, “your institute”) and Mohamed Jakkariya R (Sole proprietor, trading as Instione), based in Chennai, Tamil Nadu, India (“Instione”, “we”, “us”).
By creating an account, signing in, or using the service, you agree to these Terms, our Privacy Policy and our Data Processing Addendum. If you accept on behalf of an institute, you confirm that you are at least 18 years old and have the authority to bind it. Until we introduce acceptance at sign-up, these Terms apply from your first use of the service, or as agreed with your institute at onboarding; once sign-up acceptance is introduced, we will record which version you accepted, and when.
The service
Instione is a hosted software service (software as a service) for running a training or learning institute. It is delivered through the web at manage.instione.com; we do not install software on your premises. Features include managing students and staff, courses, batches and schedules, enrolments, enquiries and admissions, fee records and notifications. The current list of features is on our website.
Instione records payments that your institute has received in cash or by UPI/QR. It does not collect or process payments, it is not a payment gateway, and it does not hold any money on your behalf. GST amounts shown in the app are estimates to help you; you remain responsible for your own tax filings and for the accuracy of the receipts and invoices you issue.
We may add, change or remove features as the product develops. If we remove a feature that you depend on, we will tell you in advance where we reasonably can.
Accounts
- Your institute’s owner or administrator creates logins for your staff and assigns their roles. You decide who has access, and you are responsible for everything done under your institute’s accounts.
- Keep passwords confidential. Change any temporary password when first asked, and remove access promptly when a staff member leaves.
- Tell us straight away at [email protected] if you suspect that an account has been misused.
- Give accurate account details and keep them up to date, so that we can reach you about your account, security and changes to the service.
Your responsibilities for institute data
Your institute is the data fiduciary for the personal data it puts into Instione — its students, parents and guardians, staff and enquiries. Under the Digital Personal Data Protection Act, 2023 and its Rules, you are responsible for:
- having a lawful basis for the data you record, and giving the people concerned a clear notice of how it will be used;
- obtaining verifiable consent from a parent or lawful guardian before recording personal data of anyone under 18, and from the lawful guardian of a person with a disability where the law requires it;
- keeping the data accurate, and responding to requests from students, parents and staff about their data (we will help, as our Data Processing Addendum explains);
- only uploading data that you are allowed to share with us.
We process that data only on your instructions, as your data processor, under our Data Processing Addendum.
Acceptable use
You must not, and must not let anyone else:
- use Instione for anything unlawful, fraudulent or harmful, or to store data you have no right to hold;
- upload malware, or try to probe, scan, break or get around the service’s security, access controls or usage limits;
- access another institute’s data, or any account or data you are not authorised to use;
- overload or disrupt the service, or use automated tools to scrape it, other than through features or interfaces we provide;
- copy, resell, sublicense, or reverse engineer the service, or use it to build a competing product;
- send spam or unlawful messages through the service, or use it to harass anyone;
- use the service to track, profile or target advertising at children.
We may suspend access to protect the service, other institutes or the people whose data it holds (see Suspension and termination).
Early access, the free plan and future pricing
- The free early-access plan. During early access, Instione is free: there is no charge for any current module, and no limit on the number of students. Early access helps us build Instione with institutes like yours, and your feedback shapes the roadmap.
- At least 60 days’ notice before any paid plan. If we introduce paid plans, we will announce them to you by email and in the app at least 60 days in advance, with the price and what each plan includes. We will never start charging you without that notice and your agreement to the new plan. If you do not want to move to a paid plan, you can export your data and close your account before the change takes effect.
- Founding-member pricing. Institutes that joined during early access will be offered founding-member pricing when paid plans launch — a lower price than our standard price for the same plan. The terms of that offer will be set out in the paid-plan notice.
- Large institutes. An “Institution” arrangement (for example, single sign-on, many branches or migration help) is agreed separately in writing.
We do not promise that Instione will always be free; any change is governed by the notice commitment above.
Your data and exporting it
You own your data. Everything your institute enters or uploads into Instione (“institute data”) belongs to you, or to the people it is about. You give us only the permission we need to host, process, back up and display institute data in order to provide the service to you, to keep it secure, and as the law requires. We do not sell your data and we do not use it for advertising.
You can export your data at any time, in a common machine-readable format such as CSV — from the app where an export is available, or by emailing [email protected], and we will provide it within 15 days. Exports are free.
We may use aggregated statistics that cannot identify your institute or any person (for example, how many receipts are issued each month across all institutes) to run and improve the service.
Intellectual property
The Instione software, website, design, documentation and brand, and all intellectual property rights in them, are owned by Mohamed Jakkariya R. These Terms give you a limited, non-exclusive, non-transferable right to use the service for your institute’s own operations while your account is active. No other rights are granted.
If you send us feedback or suggestions, we may use them to improve Instione without any obligation to you. You keep ownership of your institute data.
Availability and support during early access
During early access, the service is provided “as is” and “as available”. We work hard to keep it running and to protect your data, but we do not guarantee any particular uptime, and there is no service-level agreement. We may need to carry out maintenance, sometimes at short notice; where we can, we will schedule it outside your working hours and tell you in advance.
Our database provider keeps backups, but we recommend that you also export your important records regularly. Support is by email at [email protected], on a best-effort basis.
Disclaimers
To the fullest extent the law allows, we do not give any warranty — express or implied — that the service will be uninterrupted, error-free, or fit for a particular purpose, beyond what these Terms say. Figures produced by the app (such as fee balances, GST estimates and dashboard figures) depend on the data you enter; check them before relying on them for legal, tax or financial decisions.
Limitation of liability
To the fullest extent the law allows:
- we are not liable for any indirect, incidental, special or consequential loss, or for any loss of profit, revenue, business, goodwill or anticipated savings, however it arises;
- our total liability to you for all claims arising out of or relating to the service or these Terms, in any twelve-month period, is limited to the greater of (a) the amount you paid us for the service in the twelve months before the claim arose, and (b) ₹10,000.
Nothing in these Terms limits liability for fraud or wilful misconduct, or any liability that cannot be limited under Indian law.
Indemnity
You will compensate us for any third-party claim, penalty or loss that arises because institute data was collected or uploaded without a lawful basis or the required consent, or because of your breach of the acceptable use rules.
Suspension and termination
- You may stop at any time. You can close your account whenever you like by emailing [email protected]. During the free plan there is nothing to pay.
- We may end the service for your institute with at least 30 days’ notice by email. We may suspend or terminate access immediately if you seriously breach these Terms, if your use puts the service, other institutes or the people whose data it holds at risk, or if the law requires us to. Where it is safe to do so, we will tell you why and give you a chance to fix the problem first.
- If we discontinue Instione entirely, we will give you at least 60 days’ notice.
- Export window. After your account ends for any reason, you have 30 days to export your data, except where the law prohibits it. We then delete institute data from our live systems within a further 30 days, as described in our Data Processing Addendum — unless the law requires us to keep it.
The sections on your data, intellectual property, disclaimers, limitation of liability, indemnity, and governing law continue to apply after termination.
Changes to these Terms
We may update these Terms as the service and the law change. Each version has a number and an effective date. We will tell you about material changes by email or in the app at least 30 days before they take effect (and at least 60 days before any change that introduces a charge). If you keep using Instione after a change takes effect, the new Terms apply; if you do not agree, you can export your data and close your account.
Governing law and disputes
These Terms are governed by the laws of India. Before starting any legal proceedings, please write to us at [email protected] so that we can try to resolve the matter in good faith within 30 days. Subject to that, the courts at Chennai, Tamil Nadu, have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the service.
General
- These Terms, the Privacy Policy and the Data Processing Addendum are the whole agreement between us about the service. If they conflict on how personal data in institute data is handled, the Data Processing Addendum wins.
- If any part of these Terms is found unenforceable, the rest stays in force.
- Neither of us is responsible for delays or failures caused by events beyond our reasonable control, such as a natural disaster, a widespread internet or power outage, or a failure at an infrastructure provider.
- You may not transfer these Terms without our written consent. We may transfer them to a successor that takes over Instione, and will tell you if we do; your data protections go with them.
- If we do not enforce a right straight away, we have not given it up.
